BINDING COMMERCIAL AGREEMENT & ZERO SPAM ACCEPTABLE USE POLICY
By registering, accessing, or utilizing Wapflow OS (https://karwadegroup.in), you enter into a legally binding contract with Karwadegroup. You agree to use the platform exclusively for lawful commercial purposes and warrant strict adherence to WhatsApp Business and Meta Cloud API policies. Violations will result in immediate suspension without refund.
1. ACCEPTANCE OF TERMS & BINDING AGREEMENT
These Terms and Conditions ("Terms", "Agreement") constitute an enforceable master service agreement between Karwadegroup ("Company", "Wapflow OS", "we", "us") and the individual or legal corporate entity accessing or subscribing to our software platform ("Vendor", "Client", "You"). If you are accepting on behalf of an organization, you represent and warrant that you possess full legal authority to bind said entity.
2. PLATFORM OVERVIEW & ARCHITECTURAL SOVEREIGNTY
Wapflow OS is a proprietary multi-tenant business operating platform designed to orchestrate conversational commerce, Meta Cloud API integrations, Instagram messaging automation, visual bot flows, AI agent studio interactions, omnichannel CRM, storefront catalogs, and transaction reporting. We grant you a revocable, non-exclusive, non-transferable right to access the platform pursuant to your active subscription plan.
3. ELIGIBILITY, CAPACITY & CORPORATE STATUS
You must be at least 18 years of age and fully competent to enter into commercial agreements under the Indian Contract Act 1872. Individuals or entities previously barred from Meta platforms or telecommunications networks are prohibited from creating accounts.
4. INDEPENDENCE FROM META PLATFORMS, INC.
OFFICIAL CLOUD API INTEGRATION DISCLAIMER
Wapflow OS connects to Meta Platforms, Inc. services via official Meta Cloud API endpoints. Karwadegroup is an independent software enterprise and is not endorsed, operated, partnered, or sponsored by Meta Platforms, Inc. WhatsApp and Instagram are registered trademarks of Meta Platforms, Inc.
5. ACCOUNT CREATION & CREDENTIAL INTEGRITY
Vendors are solely responsible for safeguarding login credentials, multi-factor authentication tokens, and API secret keys. You agree to immediately notify support@karwadegroup.in of any suspected unauthorized access or compromise. Karwadegroup shall not be liable for losses resulting from shared or compromised account keys.
6. VENDOR CONSOLE PRIVILEGES & TEAM ROLES
Vendor account owners may provision sub-accounts, staff operators, and live chat agents. Account owners maintain strict legal and financial liability for all actions, broadcasts, and data inputs executed by authorized team members within their tenant console.
7. SUBSCRIPTION PLANS & TARIFF TIERS
Access to Wapflow OS features, broadcast limits, contact thresholds, and AI nodes is governed by the specific subscription plan selected during checkout. Plan tiers, features, and resource quotas are published on our official website at https://karwadegroup.in/pricing.
8. PAYMENT PROCESSING, TAXES & INVOICING
All subscription fees are billed in advance on a recurring monthly or annual billing cycle. Applicable statutory taxes, including Goods and Services Tax (GST) in India, are levied in addition to base SaaS tariffs. System-generated GST-compliant tax invoices are issued automatically upon confirmed payment.
9. FREE TRIALS & AUTOMATIC SUBSCRIPTION TRANSITIONS
Where a trial period is provided, access to paid capabilities terminates at the end of the specified trial term unless an active commercial subscription plan is selected. We reserve the right to modify or withdraw trial access at our discretion.
10. META CLOUD API BILLING & CONVERSATION CHARGES
SEPARATE META CLOUD API CONVERSATION TARIFFS
Wapflow OS software subscription fees cover the software platform engine only. Meta Platforms, Inc. charges separately for WhatsApp Business conversations (Marketing, Utility, Authentication, and Service categories). Vendors must maintain their own valid payment method directly with Meta inside Meta Business Manager.
11. ACCEPTABLE USE POLICY & ZERO-SPAM MANDATE
You agree to utilize Wapflow OS strictly for legitimate, ethical, and lawful commercial communications. You warrant that you will never transmit unsolicited commercial messages, unauthorized bulk blasts, or misleading promotional materials.
12. PROHIBITED CONTENT, GOODS & BUSINESS CATEGORIES
The following activities and products are strictly prohibited on our platform:
- Illegal gambling, betting, unauthorized lottery schemes, or speculative financial fraud.
- Sale of firearms, weapons, ammunition, or explosive materials.
- Prescription drugs, illicit narcotics, or controlled chemical substances without statutory licenses.
- Pornographic, sexually explicit, abusive, harassing, or hate-speech content.
- Phishing campaigns, malware distribution, credential theft, or impersonation of banking institutions.
13. COMPLIANCE WITH WHATSAPP COMMERCE & BUSINESS POLICIES
Vendors warrant continuous compliance with Meta's WhatsApp Business Messaging Policy and WhatsApp Commerce Policy. Any non-compliance that results in template rejections or quality tier degradation is the sole responsibility of the Vendor.
14. MANDATORY RECIPIENT OPT-IN & CONSENT PROTOCOLS
Prior to initiating any outbound WhatsApp message or broadcast campaign, the Vendor must secure clear, verifiable opt-in consent from each recipient. Opt-in records must clearly disclose the business name and message scope.
15. PROHIBITION OF CONTACT SCRAPING & THIRD-PARTY LISTS
PROHIBITION ON PURCHASED OR SCRAPED DATABASES
Uploading purchased contact databases, scraped telephone directories, or unauthorized third-party marketing lists is strictly prohibited. Accounts engaging in indiscriminate cold messaging will be terminated immediately without entitlement to any refund.
16. BOT FLOW MAKER RULES OF ENGAGEMENT
Automated visual bot flows configured within Wapflow OS must provide clear opt-out mechanisms (e.g., "Reply STOP to unsubscribe") and an accessible path to human agent handover. Deceptive or looping bots designed to trap consumers are prohibited.
17. AI AGENT STUDIO DEPLOYMENT & OUTPUT ACCURACY
Vendors deploying AI Agent Studio nodes acknowledge that generative AI responses are generated non-deterministically. Vendors are solely responsible for auditing AI knowledge bases, configuring prompt guardrails, and verifying output accuracy before deploying bots in production.
18. LIVE CHAT PROTOCOLS & HUMAN AGENT CONDUCT
Live chat operators must adhere to professional communication standards. Karwadegroup disclaims all liability for verbal agreements, pricing concessions, or promises made by vendor human agents to end-consumers in live chat sessions.
19. OMNICHANNEL CRM USAGE & DATA INTEGRITY
The omnichannel CRM provides tools to tag, organize, and track customer lifecycles. Vendors are responsible for the legal accuracy and proprietary validity of all data imported or synchronized into CRM records.
20. STOREFRONT & DIGITAL COMMERCE TRANSACTION LIABILITY
Wapflow OS provides the digital catalog and cart software interface. All contracts of sale, product quality warranties, delivery fulfillments, and consumer disputes remain strictly between the Vendor and the purchasing end-consumer.
21. THIRD-PARTY INTEGRATIONS & WEBHOOK OUTAGES
Where Vendors configure outbound webhooks, Google Sheets synchronizations, or third-party CRM hooks, Wapflow OS is not liable for data loss or latency originating from failure of third-party receiving servers.
22. INTELLECTUAL PROPERTY RIGHTS
Karwadegroup retains all right, title, and interest in and to the Wapflow OS software, source code, visual flow builders, user interface designs, logos, documentation, and underlying patents. Nothing in this Agreement transfers platform ownership to the Vendor.
23. VENDOR CONTENT LICENSING & DATA OWNERSHIP
Vendors retain full ownership of all customer lists, brand assets, message text, and media catalogs uploaded to their tenant instance. Vendors grant Karwadegroup a limited, non-exclusive license solely to process said content to deliver the SaaS service.
24. FEEDBACK & SUGGESTIONS
Any technical feedback, feature requests, or software suggestions submitted to Karwadegroup shall become the exclusive property of Karwadegroup without obligation of compensation or confidentiality.
25. SERVICE AVAILABILITY, MAINTENANCE & SLA EXCLUSIONS
We strive to maintain high service availability (aiming for 99.5% uptime). However, scheduled maintenance windows, emergency security patches, cloud carrier outages, and upstream Meta API disruptions are expressly excluded from service uptime commitments.
26. PLATFORM MODIFICATIONS & DEPRECATION
We continuously evolve our platform and reserve the right to modify, enhance, or deprecate specific features with reasonable notice, particularly where required by upstream Meta Cloud API updates or regulatory mandates.
27. CONFIDENTIALITY & TRADE SECRETS
Both parties agree to treat non-public business strategies, proprietary source architectures, pricing formulas, and technical credentials exchanged during the commercial term as strictly confidential.
28. DATA PROTECTION & PRIVACY COVENANTS
Each party warrants compliance with the Digital Personal Data Protection Act 2023. Vendors warrant that all data shared with Wapflow OS has been lawfully acquired and processed.
29. SUSPENSION OF SERVICE FOR CAUSE
IMMEDIATE SUSPENSION FOR SECURITY & POLICY VIOLATIONS
Karwadegroup reserves the right to immediately suspend or restrict vendor console access upon detecting suspected fraudulent activity, cyber attacks, spam broadcasts, repeated Meta template violations, or unpaid invoices.
30. VOLUNTARY TERMINATION BY VENDOR
Vendors may cancel their recurring subscription at any time directly through the vendor billing dashboard. Cancellation takes effect at the expiration of the current prepaid billing period.
31. CONSEQUENCES OF TERMINATION & DATA ACCESS
Upon termination of service, vendor administrative access is revoked. Vendors are granted a 14-day grace window following account closure to request an export of their customer contact lists, after which tenant repositories are queued for deletion.
32. DISCLAIMER OF WARRANTIES (AS-IS, AS-AVAILABLE)
Wapflow OS is provided on an "AS-IS" and "AS-AVAILABLE" basis without warranties of any kind, whether express, implied, or statutory, including warranties of merchantability, fitness for a particular purpose, or error-free operation.
33. LIMITATION OF LIABILITY & DAMAGE EXCLUSIONS
TOTAL EXCLUSION OF CONSEQUENTIAL & INDIRECT DAMAGES
In no event shall Karwadegroup, its founder Mahesh Karwad, directors, employees, or partners be liable for lost profits, loss of business revenue, reputation harm, commercial interruption, or indirect, punitive, or consequential damages arising from platform usage.
34. AGGREGATE LIABILITY CAP
To the maximum extent permitted by applicable Indian law, Karwadegroup's total aggregate liability arising out of or related to this Agreement shall be strictly capped at the total amount paid by the Vendor to Karwadegroup for the specific SaaS subscription service during the three (3) months preceding the event giving rise to liability.
35. INDEMNIFICATION OBLIGATIONS BY VENDOR
The Vendor agrees to indemnify, defend, and hold harmless Karwadegroup, its affiliates, directors, officers, and agents from any third-party claims, government penalties, consumer lawsuits, or damages arising out of vendor spam broadcasts, Meta policy violations, consumer disputes, or breach of applicable data protection laws.
36. FORCE MAJEURE
Neither party shall be held liable for failure or delay in performing contractual obligations resulting from events beyond reasonable control, including natural disasters, warfare, civil unrest, labor strikes, power grid blackouts, or nationwide telecommunication network breakdowns.
37. EXPORT CONTROLS & SANCTIONS COMPLIANCE
Vendors represent that they are not located in any sanctioned jurisdiction and comply fully with Indian export regulations and trade control laws.
38. DISPUTE RESOLUTION & ARBITRATION
Any dispute, controversy, or claim arising out of this Agreement shall first be submitted to mutual amicable executive negotiation. If unresolved within 30 days, it shall be resolved by binding arbitration conducted in accordance with the Arbitration and Conciliation Act 1996 by a sole arbitrator appointed by Karwadegroup. The seat and venue of arbitration shall be Ahmedabad, Gujarat, India, and proceedings shall be in English.
39. GOVERNING LAW & EXCLUSIVE JURISDICTION
This Agreement shall be governed by, construed, and enforced in accordance with the substantive laws of India. Subject to the arbitration clause, the civil courts located in Ahmedabad, Gujarat, India shall have exclusive jurisdiction.
40. MISCELLANEOUS, SEVERABILITY & ENTIRE AGREEMENT
If any provision of this Agreement is held invalid by a court of competent jurisdiction, such provision shall be enforced to the maximum extent permissible, and the remaining provisions shall continue in full force. These Terms constitute the complete understanding between the parties regarding the subject matter herein.
